Noir & Grace Reseller Programme – Terms & Conditions

These terms are an agreement between you (the “Reseller”) and Regal Carat, Surat, Gujarat, which runs the website noirandgrace.com under the brand Noir & Grace (“we”, “us”). Please read them fully. By ticking the box and submitting the form, you confirm that you have read, understood and agree to these terms.

1. Joining

1. You must be 18 years or older, live in India and have a UPI ID or bank account in your own name.
2. Every application is checked by us. We may approve or refuse any application without giving a reason.
3. Only one reseller account is allowed per person. The details you give us must be true and up to date.

2. Your code and link

1. After approval you get a personal reseller code (for example RC1023) and a personal link.
2. Keep your login private. You are responsible for everything done through your account.

3. When an order is credited to you

1. A customer opens your link and places an order on noirandgrace.com within 30 days, on the same phone or browser; or
2. a customer types your code in the coupon box at checkout; or
3. you send us the order number before the order is delivered and we agree to add your code (our decision).
4. Your customers stay with you: once a customer’s first order is credited to you, their later orders on noirandgrace.com (matched by their account, email or mobile number) are also credited to you, as long as your account is active.
5. If a customer is not yet linked to any reseller and uses more than one reseller’s link or code, the code typed at checkout counts first, otherwise the last link opened.
6. Orders you place yourself, while logged in to your own reseller account, are also credited to you.
7. These orders are not credited: orders we cannot track (cookies cleared, different device and no code); orders placed outside the website unless we agree in writing. Our system records are final.

4. Commission

1. You earn 10% of the product value of each credited order: the price actually paid for the products after discounts and coupons, not including shipping charges, COD charges and GST/taxes.
2. The commission rate that applies is the rate on the date the order is placed.

5. Commission is paid only after delivery

1. Order placed: shown as “Awaiting delivery”. Nothing is payable yet.
2. Order delivered: after we mark the order delivered (Completed), a 7-day return window starts. Commission is shown as “In return window”.
3. After 7 days with no return, refund or complaint, the commission becomes “Payable”.
4. We pay payable commission by UPI to the ID in your reseller profile, normally once a week. Minimum payout: ₹0. The payment reference is shown in your dashboard.
5. No commission is paid for orders that are cancelled, not delivered, refused, returned to us (RTO), returned by the customer or refunded. If part of an order is returned or refunded, commission is only on the products the customer keeps.
6. If an order is returned or refunded after we have paid you, we may deduct that amount from your future commission.

6. Payments and taxes

1. Payments are made in Indian Rupees only, to a UPI ID or bank account in your own name. Wrong payment details given by you are your responsibility.
2. You are responsible for your own income tax. We may deduct tax at source (TDS) where the law requires and may ask for your PAN.

7. How you may promote

1. You may share our product photos and links on WhatsApp Status, chats, groups and your own social media.
2. You may not: change our prices or promise discounts or offers that we do not give; collect money from customers for our products (customers pay only on noirandgrace.com); make false claims about fabric, quality or delivery; send spam; pretend to be Noir & Grace or create pages, accounts or ads using our name or logo as if you were us; run paid ads on our brand name without written permission; use our photos to sell other sellers’ products.

8. Customers

1. The sale is between the customer and us. Shipping, returns and refunds follow the policies on noirandgrace.com.
2. Do not promise anything beyond our policies. Send customers to us for order support.
3. We do not share customers’ personal details (name, address, phone) with you.

9. Misuse and fraud

Fake or test orders, ordering for yourself through other people, misuse of codes or links, or any attempt to manipulate tracking may lead to cancelled commissions, suspension or closure of your account, and recovery of amounts already paid.

10. Our relationship

You are an independent reseller. You are not our employee, agent, franchisee or partner and cannot make promises on our behalf. There is no salary or guaranteed income; your earnings depend only on delivered, credited orders.

11. Leaving the programme

1. You may leave at any time by telling us on WhatsApp or email.
2. We may suspend or close your account if these terms are broken, or end the programme with 7 days’ notice.
3. After leaving, commission for eligible orders placed before the end date is paid after their return window, except in case of fraud or breach of these terms.

12. Changes to these terms

We may change these terms, the commission rate or the programme. The new version will be shown to you and you must accept it to continue. Orders placed before a change follow the terms that applied when they were placed.

13. Your data

We store your name, contact details, UPI ID, the orders credited to you, and a record of your acceptance of these terms (version, date, time, IP address and device) to run the programme and as proof of this agreement.

14. Liability

Our total liability to you is limited to the commission that is due and unpaid to you under these terms.

15. Law and disputes

These terms are governed by the laws of India. Courts at Surat, Gujarat have exclusive jurisdiction.
